Terms and Conditions of Membership for Lives Amplified, Inc. (“Lives Amplified Society” or “Society”)
- Introduction
– Welcome to Lives Amplified Society, a private Society. These Terms and Conditions govern your membership and/or participation in the Society and its activities.
- Eligibility
– Membership and event access is open to individuals who meet the criteria set out by the Society and who agree to continuously adhere to these Terms and Conditions.
- Membership Fee
– The annual membership fee is: nonrefundable, subject to change from year to year, covers a twelve months period, and is payable in advance, with annual auto renewals to be charged to the payment method provided, unless either party cancels membership or it’s renewal.
- Membership Benefits
– Members are entitled to benefits listed on www.livesamplified.org (Website), or for the level of the membership paid for by an individual, subject to the rules and regulations of the Society. Membership benefits are subject to change by the Society, which may be posted on the website or directly communicated to members. Members who are not willing to accept the changes to their membership have thirty days from the date of the posting/notification of the changed Membership Benefits to notify the Society of their unwillingness to accept the new Membership Benefits and will be eligible to cancel their membership and receive a prorata refund of the prepaid membership fees, calculated based on the remaining duration of the membership period.
- Code of Conduct
Members and guests must adhere to the society’s code of conduct, including that articulated at a particular event by Society management, which promotes respect, integrity, and professionalism to all Members and guests. Key aspects include:
Respect: Members and guests must treat others with dignity, fairness, and courtesy. Discrimination or harassment of any kind is strictly prohibited.
Integrity: Members and guests are expected to act ethically, honestly, and with integrity in all dealings.
Professionalism: Members and guests should contribute positively to the society’s mission and avoid any conduct that could damage the society’s reputation.
Compliance: Members and guests must comply with all applicable laws and regulations.
Conflict Resolution: Members and guests should resolve disagreements constructively and avoid public disputes.
Reporting: Any breaches of this code must be reported to the Society’s management.
- Non-Solicitation of Members and Guests.
– As a member or guest of the Society hereby acknowledges and agrees to uphold the highest standards of respect and confidentiality towards all members and guests of the Society. In recognition of the Society’s commitment to maintaining an exclusive and undisturbed environment for its members and guests, the Member and a guest agrees to adhere to the following non-solicitation provision:
– The Member or a guest shall not, directly or indirectly, solicit, invite, encourage, or engage in discussions with any other member(s) and/or guest(s) of the Society for the purpose of participating in, joining, becoming a sponsor of, promoting, or in any other manner taking part in the activities, membership, or sponsorship of any other organization, society, club, or any other membership-based or sponsor-supported entity (collectively, “External Entities”). This prohibition includes but is not limited to communications made in-person, through electronic means, via social media, or through any other communication channels.
– Any Member or a guest wishing to engage in such activities with respect to External Entities must first obtain express written approval from the Society’s Board of Directors (the “Board”). The Member or a guest must submit a written request to the Board detailing the nature of the proposed involvement with the External Entity and the reasons for seeking the Board’s approval. The Board reserves the right, in its sole discretion, to grant or deny such approval based on its assessment of the potential impact on the Society’s interests and the interests of its members and guests.
– This provision is designed to protect the integrity and privacy of the Society and its members and guests. It ensures that the Society remains a place of personal growth, mutual respect, and exclusive association. Violation of this non-solicitation provision may result in disciplinary action, up to and including termination of membership, as determined by the Society’s Board.
– By accepting these terms and conditions, or moving forward with the Membership process or a ticket purchase the Member or a guest fully understands and commits to abide by this non-solicitation provision and acknowledges that any breach thereof may have consequences as outlined above.
- Transactions and Engagements Connected to the Society.
- Compensation due to the Society:
A Member shall pay to the Society a fee in the amount of 10% of the gross revenues generated for sale of goods or services, or 1% (one percent) of the gross other (not sale of goods or services) transaction amounts (or a different percentage if agreed to in writing by the Society) on any transaction (for example, revenues generated, sales made, services provided, value received, or investment received/made (unless contrary to applicable laws) (hereafter ”Business”)(directly or indirectly by a Member (for the purpose of this provision the term Member also includes Member’s assignees, representatives, agents, businesses, partners, family members, guests, and/or other parties with whom the Member directly or indirectly shared the business opportunity, hereafter collectively “Member Group”)) where the Business was generated as a direct or indirect result of the Member and/or Member Group’s involvement in/with the Society, Society’s Members, guests, agents, representatives, partners, sponsors, and/ or other Society event attendees and/or affiliates (hereafter collectively the ”Society Group”), and/or where a Business was generated with a counterparty with whom a Member and/or Member Group was directly or indirectly introduced to by or through the Society and/or Society Group.
- Duty to Inform:
A Member and Member Group shall keep the Society informed and notify the Society in writing (or via
electronic communications) of any and all potential and actual Business and related opportunities (beyond the initial general conversation) a Member and/or Member Group is working on/pursuing, listing each individual counterparty and the details of the potential Business. A Member shall inform the Society in writing (email or a text) of any Business within a week of it taking place, and provide regular updates (no less than every two weeks) on the status thereof.
The above stated payments to the Society are to be made within five business days of the Member or Member Group conducting Business. It is a responsibility of a Member to ensure that the Member Group fulfills the above stated responsibilities.
- No Assurance or Responsibility.
The Society does not endorse, insure, vouch, provide assurance, or in any way responsible for
1) a behavior, commitments or breaches thereof of its Members, Member Group, guests, and/or any other parties and/or
- b) Business, transactions and/or business
opportunities or other activities being available within or through the Society, Society Group, Members and/or Member Group. Everyone ia advised to conduct their own due diligence and research on all Business, parties, opportunities and/or transactions prior to engaging in any type of activities.
- Membership levels and Related Matters
Business/ Corporate Level Membership Benefits ($10,000 annually*)
Access to the General Society events.
Ability to invite a minimum of 1 (one) new (someone who did not attend the Society events previously) guest to each of the Society’s General events (current and/or prospective clients, strategic partners, etc).
Strategic Alliance Member Benefits ($50,000 Annually*)
Corporate/Business Level Benefits, plus:
Access to all Lives Amplified Global Leaders Society (Society) General Events: a guaranteed minimum of 3 people from the organization; and a minimum of 3 new guests.
Leadership role at the Society (a Chair of a Council that is the Member’s focus area/business).
There shall be only one Council per industry/focus area.
Acknowledgement of a Member or a Member’s representatives at each event, outlining their Membership Level, the Council they Lead as a Chair, and their focus area.
Appearance in a video posted on the Society’s website and emailed to the Society’s database.
Appearance in the Society’s photo gallery.
Opportunities to take active parts in Society events.
Placement of the Member’s logo on the Society’s: website, with a link to the Member’s website.
Introductions of the Member to parties of potential interest, potential strategic partners, potential cloners and other parties at Society events.
In-person and online speaking opportunities and event attendance at the events hosted by the Society, its strategic partners and other external organizations, as these opportunities arise.
Plug in/promote the Member at various events the Society’s representative appears or speaks at, as appropriate.
50% discount on the Lives Amplified Foundation World Leaders Academy offerings for the Member, Member’s family, and of the Member’s organization (Young World Leaders Certificate Program, Executive Education Certificate Program, and other programs).
Sponsor Benefit: Opportunities to distribute brochures or other pre-approved by the Society materials at each event.
Priority for the: event registration, sitting arrangement and asking questions at the Society events.
Priority new business opportunities notification (after Board Members).
These and any special Memberships, benefits and offers are limited time offers and are 1) subject to Society reviewing and approving each application, 2) available to new members only, 3) override and cancel any other offers and/or membership benefits previously made, and/or listed elsewhere, 4) subject to change, and 5) cannot be combined with various other offers. Since this is a private, by invitation only membership Society, each proposed guest has to be pre-approved by the Society. All subject to venue capacity.
- Privacy Policy
– Personal information collected from members will be handled in accordance with the Society’s privacy policy.
- Confidentiality and Non-Circumvention Agreement
1.1. Complete Confidentiality: All Members of the Society hereby agree to maintain complete and strict confidentiality regarding any and all matters discussed during Society Forum events. This includes, but is not limited to, the identity of individuals present, the nature of discussions, and specific details shared, regardless of whether the matters are business or personal in nature. Under no circumstances shall any information be disclosed to any external parties at any time.
1.2. Purpose of Confidentiality: The maintenance of strict confidentiality is essential for the Society to host effective and productive Forum events. It ensures that Members feel safe and comfortable sharing intimate and sensitive information, fostering an environment conducive to meaningful and beneficial for members’ discussions.
- Non-Circumvention
2.1. Non-Circumvention of Opportunities: Members agree not to circumvent or exploit any opportunities shared by other Members during Society Forum events. This clause is in place to ensure that all Members can openly share opportunities without fear of unfair competition or exploitation.
- Enforcement
3.1. Binding Nature: This agreement is binding on all Members of the Society. Any violations will be subject to the Society’s disciplinary procedures and may include expulsion from the Society, as well as legal action to enforce the terms of this agreement.
3.2. Consequences of Breach: Any breach of this agreement will result in the harmed party (which may include individual member(s), the Society, and/or other affected parties) being entitled to full compensation for any and all damages and losses incurred. This is in addition to any other legal or equitable remedies that may be available.
- Limitation of Liability
– The Society shall not be liable for any losses, injuries, or any direct, indirect, incidental, consequential, or any other damages arising out of or connected in any way with the member’s or guest’s participation in the society’s activities, use of the Society’s facilities, or association with the Society. This limitation of liability applies to all claims, regardless of whether they are based in contract, tort (including negligence), strict liability, or otherwise. Members participate in all society activities and use society facilities at their own risk.
- Intellectual Property and Media Consent
– By participating in the Society’s events and activities, members and guests grant the Society permission to capture and use their image, likeness, and voice in photographs, videos, and other digital media (“Media”) taken during such events and activities. Members and guests hereby assign to the Society all rights, title, and interest they may have in any Media, including but not limited to any royalties, proceeds, or other benefits derived from such Media.
– The Society reserves the right to use any such Media in its communications, marketing, advertising, and any other lawful purposes. This includes the use of Media on the society’s website, in publications, promotional materials, and other forms of media, both digital and print.
– Members and guests acknowledge that they will not receive any financial compensation or royalty for the use of their image or likeness and hereby release Lives Amplified from any claims related to the use of the Media.
- Dress Code Policy
– Members and guests of the Society are required to adhere to a professional dress code when attending society events. This dress code is designed to maintain a standard of professionalism and respect within the society.
– The acceptable forms of attire include:
– Professional Attire: Traditional business wear such as suits, dress shirts, blouses, tailored trousers, skirts, and appropriate footwear.
– Business Casual: A more relaxed yet polished attire, including collared shirts, smart blouses, dress pants, skirts, and closed-toe shoes.
– Formal Cocktail Attire: Elegant clothing suitable for a formal social gathering, such as cocktail dresses, evening gowns, dress suits, and dress shoes.
– Members and guests are expected to choose attire appropriate to the nature of each event, as specified in the event’s description or invitation.
– Failure to comply with this dress code policy may result in denial of entry to the event or other actions as deemed appropriate by the society’s governing body.
- Termination of Membership
– As a private Society, the Society reserves the right to cancel or revoke membership at any time for any reason. In such cases, members will be entitled to a refund of a prorated portion of their prepaid annual membership fee, calculated based on the remaining duration of the membership period.
- Amendments to Terms and Conditions
– The society reserves the right to amend these Terms and Conditions at any time, effective immediately. Members and guests will be notified of any changes through the posting of the updated terms and conditions on the Website or by other means chosen by the Society.
- Entire Agreement
– This document, including all its provisions and any other documents referred to herein, constitutes the entire agreement between Lives Amplified and the member and guest regarding membership in the society. The member and guest acknowledges that, in agreeing to become a member or a guest of the Society, they have not relied on any representation, promise, assurance, statement, or warranty, whether written or oral, made by the society or any of its agents, employees, or representatives, other than as expressly set out in these Terms and Conditions.
– By accepting these Terms and Conditions, the member and guest confirms that they understand and agree that no other promises or representations, either written or verbal, have been made by the society to persuade the member to pay for the membership.
– Any amendments or modifications to this agreement must be made in writing and signed by both the Society and the member or a guest to be valid.
- Non-Disparagement
– Members and guests agree not to make any written or oral statements that negatively impact the Society, its officers, directors, employees, agents, or other members, or that disparage the society’s reputation, practices, or conduct. This prohibition includes, but is not limited to, statements made in any public forum, social media platform, or to any third party, including the press.
– The member and a guest understand that this non-disparagement clause does not prohibit them from making truthful statements that are required by applicable law, regulation, or legal process.
– Breach of this non-disparagement clause may result in immediate termination of membership and may give rise to further legal action by the Society.
– This clause shall survive the termination of the membership and shall remain in effect indefinitely.
- Dispute Resolution
– In the event of any dispute, claim, question, or disagreement arising from or related to the Terms and Conditions of membership or any other aspect of the relationship between a member/guest and Society (“Dispute”), the parties shall use their best efforts to settle the Dispute. To this effect, they shall consult and negotiate with each other, in good faith, and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.
– If the parties do not reach such a solution within a period of 30 days, then, upon notice by either party to the other, the Dispute shall be finally settled by binding arbitration administered by an entity to be selected by the Society, under such arbitration entity’s rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
– The arbitration shall be conducted in the state of Florida and in accordance with the laws of the state or Florida. The costs of arbitration, including administrative and arbitrators’ fees, shall be shared equally by the parties unless the arbitration award provides otherwise. Each party shall bear its own costs and attorneys’ fees related to the arbitration proceedings.
– The members agree that resolving Disputes through arbitration results in a quicker, more cost-effective, and confidential process. Members understand that they waive their rights to a jury trial and to participate in class actions or class arbitrations.
– This dispute resolution provision shall be governed by the Federal Arbitration Act and not by any state law concerning arbitration.
- Use of the word “Amplified.”
In order not to cause confusion, possible related mistaken assumption that a business is conducted by or is affiliated with the Lives Amplified Society with a resulting potential liability exposure to the Society, a Member shall not conduct any activities that contain “Amplified” in its name, logo or a motto.
- Governing Law
– These Terms and Conditions are governed by the laws of Florida State in the United States of America.
- Acceptance of Terms
– By paying the membership fee or by otherwise accessing the event members and guests agree to be bound by these Terms and Conditions, including the Code of Conduct.
